Subscription terms of use

Effective June 25, 2026

This licence governs access to and use of the tool “The strategic leader’s toolbox”, offered by subscription. Please read it carefully.

This English version is provided for convenience. In the event of any discrepancy, the French version prevails.

1Purpose and acceptance

This licence governs access to and use of “The strategic leader’s toolbox” (the “Tool”), a set of cards, documents and resources available online by subscription. The Tool is published and operated by Kodra (the “Licensor”).

By subscribing to the Tool or using it, you (the “Subscriber”) acknowledge that you have read and accepted this licence. If you do not accept these terms, you must not use the Tool.

2Grant of licence

Subject to payment of the subscription and compliance with this licence, the Licensor grants the Subscriber a personal, non-exclusive, non-transferable and revocable right of access and use, limited to one named individual, for the duration of the subscription.

This right is granted for the Subscriber’s own consultation and professional or personal use. Printing the cards for personal use is permitted.

3Subscription, term and renewal

The subscription runs for one year from its activation.

Renewal is manual: access ends when the term expires. There is no automatic renewal and no automatic charge. To keep access, the Subscriber must choose to purchase a new term.

4Use restrictions

The Subscriber agrees not to:

  • share, lend, resell or transfer their credentials or access to any third party;
  • reproduce, copy, distribute, publish or disseminate the content of the Tool, in whole or in part, by any means whatsoever;
  • resell, sublicense or commercialize access to the Tool or its content;
  • create derivative works intended for distribution;
  • remove or obscure ownership, copyright or trademark notices;
  • use the Tool in any manner contrary to applicable law.

Using the Tool for an organization’s internal training or by several people requires a separate licence. Write to the Licensor to arrange one.

5Intellectual property

All content of the Tool (texts, cards, the document “The theoretical foundation”, visuals, as well as the selection and organization of the frameworks and the brand identity) is the exclusive property of the Licensor or its licensors, and is protected by copyright and intellectual property laws.

The subscription confers a limited right of access; it does not transfer any intellectual property rights. All rights not expressly granted are reserved.

The models, frameworks and theories presented (notably those named in the cards and the bibliography) do not belong to the Licensor. They remain the intellectual property of their respective authors and are cited for information and training purposes, from public sources. The Licensor’s property covers its original expression of them: the writing, synthesis, selection, organization and presentation.

6Nature of the content

The content of the Tool is provided for information and training purposes. It does not constitute professional, legal, financial or management advice, and replaces neither the Subscriber’s judgment nor the advice of a qualified professional. The Subscriber remains solely responsible for the decisions they make.

7No warranty

To the extent permitted by law, the Tool is provided “as is” and “as available”, without warranty of any kind as to accuracy, completeness, continuous availability or the achievement of any particular results.

Nothing in this licence excludes or limits the warranties and rights that the law, notably Quebec’s Consumer Protection Act, mandatorily grants to the Subscriber.

8Limitation of liability

To the extent permitted by law, the Licensor shall not be liable for indirect, incidental or consequential damages arising from the use of, or inability to use, the Tool. Where applicable, the Licensor’s total liability shall not exceed the amount paid by the Subscriber for the current subscription term.

9Termination

The Licensor may suspend or terminate the Subscriber’s access, without refund, in the event of a breach of this licence, notably in the case of access sharing or unauthorized reproduction of the content.

Upon expiry or termination of the subscription, the right of access ends. The provisions relating to intellectual property, warranties and liability survive the end of the licence.

10Personal information

The personal information collected is used solely to create and manage the Subscriber’s subscription and access. It is processed in accordance with the laws applicable in Quebec regarding the protection of personal information. For details, see the privacy policy. For any question, write to seb@kodra.ca.

11Changes to the licence

The Licensor may amend this licence. The applicable version is the one published on the site. By continuing to use the Tool after an amendment, the Subscriber is deemed to have accepted it.

12Governing law

This licence is governed by the laws in force in the Province of Quebec and the federal laws of Canada applicable therein. Any dispute falls under the exclusive jurisdiction of the courts of Quebec.

Distance contract

Refund policy

Effective July 6, 2026

The subscription to the Tool is a distance contract within the meaning of Quebec’s Consumer Protection Act. This policy explains your rights and how to request a refund.

1What you are buying

A one-year subscription, paid in a single payment, giving online access to the entire toolbox (the cards and the reference document). Access is delivered by email immediately after payment, as a secure access link.

2Satisfaction guarantee

If the Tool is not right for you, you may request a full refund within 14 days of purchase, no questions asked. Simply write to seb@kodra.ca from the email address used for payment. The refund is issued by Stripe to the original payment method, and access to the toolbox is deactivated.

3Your legal rights

The Consumer Protection Act notably allows you to cancel the contract if the promised access is not provided to you after payment. These rights are in addition to the guarantee above, and nothing in this policy restricts them.

If you paid by credit card and the Licensor fails to refund you after a valid cancellation, you may request a chargeback from your card issuer, under the conditions provided by law.

4Processing time

Requests are processed within 5 business days. How long the refund then takes to appear on your statement depends on your financial institution.
